These Terms of Service (the “Terms”) govern your access to and use of the website at getfractal.ai(the “Site”) and the GetFractal platform and related services (together with the Site, the “Services”), provided by GridTheory (“GridTheory,” “we,” “our,” “us”) operating under the GetFractal brand. By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at hello@gridtheory.com of any unauthorized use.
2. The Services
GetFractal provides software, content, and tooling for life insurance operators, including lead-generation, AI-driven workflow automation, and agency-management features. We may update, modify, or discontinue any portion of the Services at any time, with or without notice.
The Services are currently offered to a limited cohort of customers as part of a private beta. Beta features may change, degrade, or be removed without notice and are provided on an “as is” basis.
3. Acceptable use
You agree not to, and not to permit anyone else to:
- Use the Services in violation of any applicable law, regulation, or third-party right, including telemarketing, privacy, and consumer-protection laws (e.g., TCPA, CAN-SPAM, GDPR, CCPA);
- Upload or transmit content that is unlawful, deceptive, harassing, defamatory, or that infringes intellectual property or other rights;
- Reverse engineer, decompile, or attempt to extract source code of the Services, except as permitted by applicable law;
- Resell, sublicense, or commercially exploit the Services without our prior written consent;
- Probe, scan, or test the vulnerability of the Services, or interfere with their availability or integrity;
- Use the Services to send unsolicited communications, spam, or bulk messaging in violation of applicable laws or carrier requirements;
- Use the Services to make decisions that produce legal or similarly significant effects on individuals in a manner that violates applicable law.
4. Customer content & data
You retain all rights in the data, content, and materials you submit to or generate through the Services (“Customer Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, and transmit Customer Content as reasonably necessary to operate the Services, secure them, and improve our products, including in aggregated or de-identified form.
You represent and warrant that (a) you own or have the necessary rights to Customer Content, (b) Customer Content does not violate applicable law or these Terms, and (c) you have all required consents to provide Customer Content to us, including the consent of any individuals identified within it.
5. Fees & payment
Pricing, billing terms, and payment methods will be set out in an order form or online checkout flow at the time you subscribe. Unless otherwise specified, fees are non-refundable, exclusive of taxes, and due in advance. We may suspend or terminate the Services if amounts are past due.
6. Intellectual property
The Services, including all software, designs, text, graphics, and other content (other than Customer Content), are owned by GridTheory or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your internal business purposes.
The names “GetFractal” and “GridTheory” and our logos are trademarks of GridTheory. You may not use them without our prior written consent.
7. Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use them for any purpose without obligation or compensation to you.
8. Third-party services
The Services may interoperate with third-party products and services that you choose to enable. We are not responsible for third-party services and your use of them is governed by their own terms.
9. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or that any specific results will be achieved (including, without limitation, any specific lead volume, conversion, or revenue outcomes).
10. Limitation of liability
To the maximum extent permitted by law, GridTheory and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Services.
Our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless GridTheory and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your Customer Content; or (c) your violation of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ends, but provisions that by their nature should survive will survive (including ownership, disclaimers, limitations of liability, and dispute-resolution terms).
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.
14. Changes to the Terms
We may modify these Terms from time to time. If we make material changes, we will notify you (for example, by email or through the Site). Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
15. Miscellaneous
These Terms (together with any order form, addendum, or policy referenced here) constitute the entire agreement between you and us regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
